Appendix A – Dynamic Pricing Table

  1. Acceptance of Terms

By downloading, accessing, or using the CALiNGA mobile applications (including CALiNGA Pro and CALiNGA CareSeeker) or related services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy.
If you do not agree, you must not access or use the Platform.

  1. Nature of Services

CALiNGA On-Demand Care LLC (“CALiNGA”) operates a software-based referral marketplace that enables individuals seeking care (“CareSeekers”) to connect with independent caregivers and healthcare professionals (“CALiNGApros”).

CALiNGA is not a staffing agency, home-care provider, healthcare employer, or licensed care organization.
CALiNGA does not hire, assign, supervise, direct, or control caregivers. All service arrangements are made directly between CareSeekers and caregivers.

  1. Independent Contractor Relationship

All CALiNGApros are independent contractors and are not employees, agents, or representatives of CALiNGA. Caregivers are solely responsible for their own licensing, certifications, insurance, tax obligations, and legal compliance, including compliance with California Labor Code §2777 and IRS Form 1099 requirements.

3.1 The CALiNGA Digital Handshake™

When a CareSeeker and a CALiNGApro connect through the Platform, they enter into the CALiNGA Digital Handshake™, a direct agreement between two independent users.
CALiNGA is not a party to this agreement and bears no responsibility for its performance.

  1. Eligibility

Users must be at least eighteen (18) years old and legally capable of entering binding agreements.
Minors may only participate through a verified parent or legal guardian account.

  1. Payments, Referral Fees & Dynamic Pricing

Payments are processed through Stripe Connect or other authorized third-party payment processors. CALiNGA retains a referral-technology fee, and the remaining amount is paid to the caregiver.

Pricing may dynamically adjust based on supply, demand, location, urgency, holidays, or other marketplace factors. All pricing is disclosed prior to confirmation.

  1. Ratings and Reviews

Users may rate and review one another following completed services. Repeated misconduct, abuse, or consistently poor ratings may result in account restrictions or permanent deactivation.

  1. Cancellations and Refunds

Cancellations made within two (2) hours of a scheduled start time may incur partial charges.
Refunds and disputes are subject to the policies of Stripe and other payment processors.

  1. Dispute Resolution and Arbitration

Any dispute arising from these Terms or the Platform shall be resolved through binding individual arbitration under the Federal Arbitration Act and AAA rules, conducted in Los Angeles County, California.
Class actions and representative proceedings are expressly waived.

  1. Safety, Conduct & Confidentiality

Users must behave professionally and comply with all applicable safety, labor, and nondiscrimination laws.

Confidentiality Rule:
Personal, medical, or identifying information must not be disclosed publicly or misused. Violations may result in immediate termination and legal liability.

  1. Limitation of Liability

The Platform is provided “as is” and “as available.”
CALiNGA is not liable for injuries, losses, or damages arising from user interactions.
Any liability is strictly limited to the referral fees collected for the applicable transaction.

  1. Health & Medical Disclaimer

CALiNGA does not provide medical advice, diagnosis, or treatment. Caregivers operate solely within their own qualifications, licensure, and scope of practice.

  1. Care Protocol & Medication Handling

Caregivers may follow CareSeeker instructions regarding pre-sorted and clearly labeled medications only.
CALiNGA is not responsible for medication errors, omissions, or adverse outcomes.

  1. Emergency Protocol

In all emergencies, caregivers must call 911 immediately.
The Platform is not an emergency response system.

  1. Background Checks & Verification

14.1 Marketplace-Based Screening

CALiNGA may facilitate optional identity verification and third-party background screening solely for marketplace trust and safety.

CALiNGA:
    •    does not employ caregivers;
    •    does not operate as a licensed home-care agency;
    •    does not conduct fingerprinting or criminal investigations.

14.2 Caregiver-Paid Screening Costs

All screening or verification costs are paid by the caregiver unless expressly stated otherwise.

14.3 Live Scan (Caregiver-Provided Option)

Caregivers may upload proof of a completed California Live Scan. CALiNGA does not submit Live Scan requests, store fingerprints, or verify fingerprint data.

14.4 Third-Party Screening

CALiNGA may integrate third-party screening providers (e.g., Checkr), subject to caregiver consent and the Fair Credit Reporting Act (FCRA).

14.5 No Guarantee or Endorsement

Screening completion does not constitute approval, endorsement, or guarantee of services.

  1. Continuing Education & Quality Standards

Optional educational modules may be offered for skill refreshment and quality improvement. Participation does not create supervision or employment.

  1. Insurance & Liability

CALiNGA does not provide workers’ compensation, liability, or vehicle insurance. Caregivers are responsible for maintaining appropriate coverage.

  1. Data Security & Privacy

CALiNGA collects only data necessary to operate the Platform and applies commercially reasonable safeguards consistent with the California Consumer Privacy Act (CCPA).

  1. Dynamic Pricing Transparency

Rates may adjust based on market conditions and are always displayed prior to confirmation.

  1. Electronic Signature & Consent

By selecting “Agree & Continue,” users consent to electronic agreements and disclosures.

  1. Intellectual Property

All CALiNGA trademarks, content, software, and designs are proprietary and protected by law.

  1. Feedback

User feedback may be used to improve the Platform without compensation.

  1. DMCA & Copyright Policy

CALiNGA complies with the Digital Millennium Copyright Act (DMCA).
Notices may be sent to info@calingacare.com.

  1. No Guarantee of Availability

Availability depends on user participation and market conditions.

  1. Chargebacks and Fraud

CALiNGA may withhold or reverse payments associated with suspected fraud or chargebacks.

  1. Termination

Accounts may be suspended or terminated for violations of these Terms or applicable law.

  1. Force Majeure

CALiNGA is not liable for delays or failures caused by events beyond reasonable control, including government systems, pandemics, or third-party outages.

  1. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

  1. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and CALiNGA.
